1. Accepting these Terms

You accept these Terms when you complete an online checkout, sign an order form that refers to them, or use the Services. If you accept for an organization, you confirm that you are authorized to bind it, and “you” means that organization. The Services are for business use, not personal or household use.

If a signed order form or other written agreement with us conflicts with these Terms, that agreement controls for the conflict.

Our Privacy Policy explains how we handle personal information.

2. Plans and subscriptions

2.1 Plans. Plans, prices, endpoint allowances, retention periods and included features are shown on our pricing page or in your order form. Your use of the Services is limited to your plan.

2.2 Plan term. Each purchase is for one plan term of one month or one year, chosen at checkout or in your order form, and you pay for the whole term upfront. There is no automatic renewal: your subscription ends when the term you paid for ends, and a new term needs a new payment or order.

2.3 Changes to plans and prices. To change plans, contact us. We may change our prices at any time. A change does not affect a term you have already paid for; a new term is charged at the prices in effect when you buy it.

3. Fees and billing

3.1 Fees for each plan term are paid upfront and are stated in US dollars.

3.2 Online purchases are paid through our checkout and processed by our payment processor, Stripe. Completing checkout authorizes one charge, for your chosen plan and term, to the payment method you provide. Your card details go directly to Stripe; we do not store them.

3.3 Purchases through our sales team are also paid upfront for the term, as stated in the order form.

3.4 Fees do not include taxes. You are responsible for all sales, use, value-added and similar taxes on your purchase, except taxes on our income.

3.5 If a payment is reversed or charged back, or an amount due under an order form is not paid, we may suspend the Services under Section 11.

4. Cancellation and refunds

4.1 Cancel any time. You can cancel your subscription at any time by emailing sales@edg3.io. Your cancellation date is the day we receive your request.

4.2 After you cancel. Your instance and Customer Data remain available for 30 days from your cancellation date so you can export your data. At the end of those 30 days we permanently delete your instance, including its databases and cloud storage. Backups and some records held outside your instance are kept for longer, as our Privacy Policy describes. The 30 days run from your cancellation date, however much of your paid term remains.

4.3 No refunds. There are no refunds. Fees you have paid are non-refundable, and we give no refund or credit for any unused part of a paid term, including when you cancel, downgrade or use fewer endpoints or features than your plan includes.

This does not affect any right to a refund that applicable law gives you and that cannot be excluded by contract.

5. Accounts and users

6. Acceptable use

You must not, and must not allow anyone else to:

  1. install the agent on, or collect data from, devices, networks or accounts that you do not own or are not authorized to monitor;
  2. use the Services to collect or process personal information without the notices, consents or other legal basis the law requires, including any notice required to monitor employees;
  3. use response features, such as host isolation or forensic collection, on systems you are not authorized to manage;
  4. try to access another customer’s instance or data, or bypass or weaken any security control, access control or usage limit;
  5. probe, scan or test the vulnerability of the Services without our prior written permission;
  6. interfere with or disrupt the Services or place an unreasonable load on them;
  7. copy, modify, reverse engineer, decompile or disassemble the Services or the agent, except to the extent the law allows despite this restriction;
  8. sell, resell, sublicense, rent or provide the Services to others, except as we agree in writing (for example under an MSSP agreement);
  9. use the Services to build a competing product or service; or
  10. use the Services for anything unlawful, harmful or fraudulent, or to store or transmit infringing or unlawful content.

Processing security telemetry that contains or describes malicious code, as part of normal use of the Services, does not breach this section.

7. Customer Data

7.1 Ownership. “Customer Data” means the data you or your systems send to the Services, including agent telemetry and logs from connected sources, and the alerts, cases and investigation results the Services produce from it. As between you and us, you own Customer Data.

7.2 Our use. You grant us a non-exclusive, worldwide right, for your subscription and the 30 days after it under Section 4.2 or 11.3, to host, copy, process, transmit and display Customer Data only to provide, secure and support the Services, to prevent or fix technical or security problems, as described in our Privacy Policy, and as the law requires. This includes correlating indicators of threats across customers to protect all customers.

7.3 Our processing role. We process personal information in Customer Data on your behalf, as your service provider (a “processor” in GDPR terms). A data processing addendum is available on request.

7.4 Your responsibilities. You are responsible for the content, accuracy and legality of Customer Data; for the legal basis for collecting it and having us process it; for any notices to, and consents from, the people whose information it contains; and for keeping your own copies of any Customer Data you need beyond your plan’s retention period.

7.5 Service data. We may collect and use information about how the Services operate and are used, such as agent health, performance and usage metrics, to provide, secure and improve the Services, and use it in aggregated form that does not identify you or any individual.

7.6 Security. We maintain reasonable administrative, technical and physical safeguards designed to protect Customer Data. You are responsible for securing your own systems, devices and credentials and for configuring the Services appropriately for your environment.

8. Third-party services and AI features

8.1 Third-party services. If you enable an integration or external service, such as Slack, Microsoft Teams or a threat-intelligence service that uses your API key, you direct us to send the relevant Customer Data to it. Its own terms govern your use of it, and we are not responsible for it.

8.2 AI features. The Services use AI models on a model server we operate; investigations use no outside AI provider. AI output, such as verdicts, confidence scores, summaries and recommendations, can be incomplete or wrong. It is advisory: review it before you rely on it. You are responsible for the decisions you make and the actions you take based on it.

8.3 Automated response. Host isolation requires a recorded approval from one of your analysts, except automatic ransomware containment. That feature follows a fixed policy on the endpoint and can isolate a host from the network without human approval, as configured for your instance. Forensic collection also runs automatically, without approval: when a critical detection matches certain attack techniques, the Services ask the affected device for forensic data, such as its network connections, running processes and their command lines, loaded libraries, recent event-log entries and registry security settings, as described in our Privacy Policy. A memory capture of the Windows credential store (LSASS) is never collected automatically. You accept the operational effects of the automated responses enabled for your instance.

9. Confidentiality

Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential, including Customer Data, our non-public product information and the terms of any order form (“Confidential Information”). The recipient will use Confidential Information only to perform under these Terms, protect it with at least reasonable care, and share it only with its employees, contractors and service providers who need to know it and are bound by obligations at least as protective. These obligations do not apply to information that is or becomes public through no fault of the recipient, was already known to it, is independently developed, or is lawfully received from a third party without restriction. The recipient may disclose Confidential Information when the law requires, after giving notice where the law allows. These obligations last as long as the information remains confidential.

10. Intellectual property and feedback

We and our licensors own the Services, the agent, the documentation and all related intellectual property. Subject to these Terms and payment of the fees, we grant you a non-exclusive, non-transferable right during your subscription to use the Services, and to install and run the agent on devices you are authorized to manage, for your internal business purposes. Open-source components are licensed under their own licenses. If you give us feedback or suggestions, we may use them without any obligation to you.

11. Suspension and termination

11.1 Suspension. We may suspend access to the Services, with notice where practicable, if a payment is reversed or not made when due, if your use breaches Section 6 or threatens the security, integrity or availability of the Services or of other customers, or if the law requires it. We will restore access once the issue is resolved.

11.2 Termination. You may end your subscription by cancelling under Section 4. We may terminate these Terms or your subscription if you materially breach them and do not cure the breach within 30 days of our notice, immediately for a breach of Section 6 that cannot be cured, or if you become insolvent.

11.3 Effect of cancellation, expiry or termination. If you cancel, Section 4.2 applies. If your term ends without a new purchase, or we terminate under Section 11.2, we record a cancellation on that date and Section 4.2 applies from that date. When your instance is deleted, your right to use the Services ends and you must uninstall the agent.

11.4 Survival. Sections 4.3, 7.4, 9, 10, 12, 13, 14, 15 and 17, and any accrued payment obligations, survive termination.

12. Warranties and disclaimers

Each party confirms that it has the authority to enter into these Terms.

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT THE LAW PERMITS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT THEY WILL DETECT OR PREVENT EVERY THREAT, INTRUSION OR LOSS, OR THAT AI OUTPUT WILL BE ACCURATE.

The Services are one part of your security program. They do not replace your own security controls, backups, monitoring, incident response or professional advice. No service level agreement applies unless one is set out in a signed order form.

13. Limitation of liability

TO THE FULLEST EXTENT THE LAW PERMITS: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL OR DATA, OR BUSINESS INTERRUPTION, EVEN IF IT WAS ADVISED THAT THEY WERE POSSIBLE; AND (B) EACH PARTY’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limits do not apply to your payment obligations, your breach of Section 6, either party’s obligations under Section 14, or liability that the law does not allow to be limited.

14. Indemnity

14.1 By you. You will defend SIEMonster and its officers, employees and agents against third-party claims arising from Customer Data, your breach of Section 6, or your use of the Services in breach of the law (including monitoring without a required notice or consent), and pay the resulting damages, losses and reasonable costs.

14.2 By us. We will defend you against third-party claims that the Services, as we provide them, infringe that party’s US patent, copyright or trademark or misappropriate its trade secret, and pay the damages finally awarded or agreed in settlement. This does not cover claims arising from Customer Data, third-party services, combinations with anything we did not provide, or changes we did not make. If the Services are, or may become, subject to such a claim, we may get you the right to keep using them, modify them so they no longer infringe, or, if neither is reasonably possible, end the affected Services.

14.3 Process. The party seeking defense must notify the other promptly, give it sole control of the defense and settlement, and cooperate reasonably.

15. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The state and federal courts located in Dallas County, Texas have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and each party consents to their jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16. Changes to these Terms

We may update these Terms. We will post the new version here with a new “Last updated” date and, for material changes, notify you by email or in the console at least 30 days before they take effect. If you do not agree to a change, you can cancel under Section 4 before it takes effect; continuing to use the Services after that means you accept it.
